These Terms of Service (“Terms”) govern your access to and use of the platform and services (the “Service”) provided by Steadi, Inc (“Company,” “we,” or “us”). By creating an account, accessing, or using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.

1. Access and Use

We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business operations, subject to these Terms and any applicable subscription agreement or order form.

2. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of login credentials;
  • All activity under your account(s);
  • Ensuring your users comply with these Terms.

3. Subscription, Billing & Payment

Fees and billing terms are defined in your subscription agreement. All fees are non-refundable unless otherwise specified. Failure to pay may result in suspension or termination of your access.

4. Data Ownership and Use

4.1 Your Data

You retain ownership of all logistics data, shipment records, tracking inputs, and related content you submit to the Service (“Customer Data”).

4.2 Our Rights to Use Data

By using the Service, you grant us a non-exclusive, royalty-free, worldwide license to use Customer Data for the following limited purposes:

  • Operating, maintaining, and improving the Service;
  • Developing analytics, benchmarks, or insights;
  • Creating aggregated and anonymized data sets for research and commercial purposes.

We will not share identifiable Customer Data with third parties without your consent, except as required by law or explicitly agreed in writing.

5. Data Security and Compliance

We implement reasonable security measures to protect Customer Data. You acknowledge that no method of transmission or storage is 100% secure. We comply with relevant data protection laws (e.g., GDPR, where applicable).

6. Acceptable Use

You agree not to:

  • Use the Service to violate laws or third-party rights;
  • Attempt to reverse-engineer, decompile, or exploit the Service;
  • Interfere with or disrupt the Service or its infrastructure.

7. Service Availability

We aim to provide 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance and force majeure events may result in downtime.

8. Term and Termination

These Terms remain in effect while your subscription is active. Either party may terminate with written notice as defined in the agreement. Upon termination:

  • Your access to the Service will cease;
  • We may retain and use anonymized data;
  • Your raw Customer Data will be made available for export upon request for [30] days after termination.

9. Intellectual Property

We retain all rights, title, and interest in the Service, including any updates, enhancements, and all related intellectual property. Any feedback you provide may be used freely by us without obligation or compensation.

10. Disclaimers and Limitations of Liability

The Service is provided “as is.” We disclaim all warranties, express or implied. To the extent permitted by law, our total liability shall not exceed the amount paid by you to us in the past 12 months.

11. Modifications to Terms

We may update these Terms from time to time. Changes will be effective upon posting, and we will notify you of material updates. Continued use of the Service constitutes your acceptance.
